Terms of Service
Standard commercial covenants, milestone governance, intellectual property transfers, and service level agreements (SLA) governing all client engagements with Teachion Technology Pvt Ltd.
1. Scope of Engagement & Agile Milestones
All technical projects executed by Teachion Technology Pvt Ltd are defined through a mutually signed Statement of Work (SOW) or itemized Discovery Estimate. Projects progress through structured agile sprints encompassing architecture, wireframing, frontend engineering, database normalization, staging review, and production deployment.
2. 100% Intellectual Property (IP) Ownership
Upon receipt of final milestone settlement, 100% of custom source code, relational database schemas, design tokens, and digital brand assets transfer exclusively to the Client. Teachion retains no restrictive lock-in licenses or proprietary hidden framework dependencies.
3. Commercial Terms & GST Invoicing
Project fees are quoted in Indian Rupees (INR) or agreed foreign currency, subject to statutory GST regulations. Standard development engagements follow a milestone payment schedule (e.g., 40% initial mobilization, 30% staging approval, 30% final deployment). Marketing retainers are invoiced on a monthly advance cycle.
4. Production Uptime & SLA Guarantees
For clients enrolled in our Managed Cloud & Infrastructure retainers, Teachion commits to a 99.9% Production Uptime Service Level Agreement (SLA). Emergency technical support tickets are prioritized with guaranteed 1-hour triage and mitigation response.
5. Strict Confidentiality & Mutual NDA
Both parties agree to hold all technical architectures, customer databases, pricing data, and commercial trade secrets in absolute confidence. This obligation persists indefinitely following the completion or termination of contracted services.
6. Governing Law & Jurisdiction
These Terms shall be interpreted and enforced under the laws of the Republic of India. Any legal disputes arising out of or related to this agreement shall be subject to the exclusive jurisdiction of the competent courts of Hisar, Haryana, India.
